Terms of Service

Terms that govern access to and use of the Tenurio contractor access lifecycle management platform.

Overview

These Terms of Service govern access to and use of the Tenurio platform, website, and related services. Tenurio provides software for managing contractor access, ownership, approvals, expiry, reviews, and audit history.

If you or your organization have signed a separate order form, master services agreement, data processing agreement, or similar written agreement with Tenurio, that agreement controls to the extent it conflicts with these Terms.

Eligibility and authority

You may use Tenurio only if you are legally able to enter into these Terms and, if you use the service for an organization, you have authority to bind that organization.

You are responsible for making sure that:

  • registration information is accurate and current
  • account credentials are protected
  • each user account is used only by the authorized individual
  • your organization controls who receives administrator rights

The service

Tenurio is a software-as-a-service platform designed to help organizations manage external workforce access. Features may include:

  • contractor onboarding workflows
  • approval routing and ownership assignment
  • access expiry and extension workflows
  • access reviews and reminders
  • audit trails and reporting
  • integrations with identity, directory, HR, ticketing, and related systems

We may improve, modify, or discontinue features from time to time. We will use reasonable efforts to avoid reducing core functionality in a way that materially harms active customers without notice.

Customer data

As between the parties, the customer retains ownership of customer data submitted to Tenurio. The customer grants Tenurio a limited right to host, copy, transmit, and process customer data as needed to provide and support the service.

The customer is responsible for:

  • the accuracy and lawfulness of customer data
  • obtaining any required consents or notices
  • configuring the service in a way that fits its internal policies
  • deciding what data to sync through integrations

Acceptable use

You may not use Tenurio to:

  • violate law or the rights of others
  • gain unauthorized access to any system or data
  • interfere with or disrupt the service
  • introduce malware, malicious code, or harmful automation
  • probe, scan, or test the vulnerability of the service without written permission
  • reverse engineer or copy the service except where applicable law does not allow that restriction
  • use the service to build a competing product using non-public Tenurio features or information

Integrations

Tenurio may interoperate with third-party services. If you enable an integration, you authorize Tenurio to exchange relevant data with that third-party service based on your configuration and permissions. Tenurio is not responsible for third-party services or for changes those services make to their APIs, features, or security practices.

Fees and trials

Paid subscriptions, implementation services, and other commercial terms are governed by the applicable order form, invoice, or other written agreement.

If Tenurio offers a free trial, preview, or beta feature:

  • access may be limited, changed, or ended at any time
  • the feature may be unavailable or incomplete
  • additional terms may apply

Confidentiality

Each party may receive confidential information from the other. The receiving party will use the same degree of care it uses to protect its own confidential information, and at least reasonable care, to protect the other party's confidential information. This obligation does not apply to information that becomes public without breach, was already known lawfully, or is independently developed without use of the confidential information.

Intellectual property

Tenurio and its licensors retain all rights, title, and interest in the service, software, documentation, and related materials, including all improvements and derivative works. These Terms do not grant you ownership of the service.

If you send Tenurio feedback, suggestions, or product ideas, you allow us to use them without restriction or compensation.

Suspension and termination

We may suspend or limit access if reasonably necessary to:

  • prevent security incidents or harm
  • stop abuse or unlawful activity
  • respond to overdue payment
  • comply with legal requirements

Either party may terminate according to the applicable agreement or plan terms. After termination, access to the service will end, and customer data will be handled according to the agreement, our retention practices, and applicable law.

Disclaimers

Except as expressly stated in a written agreement, Tenurio is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Tenurio disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law:

  • neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, goodwill, or data
  • each party's total liability arising out of or relating to the service will not exceed the amount paid or payable by the customer to Tenurio for the twelve months before the event giving rise to the claim

These limits do not apply to liabilities that cannot be limited by law or to obligations that a separate written agreement treats differently.

Order of precedence

If there is a conflict between these Terms and a signed agreement between the customer and Tenurio, the signed agreement controls for the subject matter it covers.

Changes

We may update these Terms from time to time. If we make a material change, we will update the effective date above and provide notice when required.
